These terms govern your use of ProperSizing, operated by Proper Sizing LLC. By creating an account, connecting a broker, or using any calculation in the product, you agree to them in full.

1. What ProperSizing is — and is not

The Software is a technological tool for calculating mathematical position sizes based on parameters provided solely by the user. ProperSizing is not a Registered Investment Adviser, Broker-Dealer, Commodity Trading Advisor, Futures Commission Merchant, or Introducing Broker, and it is not registered with the SEC, CFTC, NFA, or FINRA.

Nothing in the Software constitutes investment advice, a recommendation, a solicitation to buy or sell any instrument, or an opinion on the suitability of any trade. Every output is arithmetic applied to numbers you supply.

ProperSizing never holds, custodies, transfers, or controls user funds. We do not accept deposits, do not hold broker passwords, and never request or accept withdrawal or transfer permissions on any broker API key. All capital remains at your broker, under your control, at all times.

2. Broker API connections and order routing

When you connect a broker, you authorize the Software to read account balances and order history and to submit orders you explicitly initiate. Broker APIs are consumed strictly "as-is." We make no warranty of availability, accuracy, latency, or correctness of any third-party broker system.

You bear 100% of the responsibility to verify that the calculated position size, stop, and target match your intended risk before you submit an order. Submission is always an affirmative action taken by you; the Software never routes an order autonomously.

You indemnify and hold harmless Proper Sizing LLC against all losses arising from API disconnects, session expiry, stale or incorrect balances, rejected or partially filled orders, slippage, duplicate executions, exchange outages, and any other broker-side error or omission.

You must grant only the minimum permissions the Software needs: read account balance, read order history, and place orders. You must not enable withdraw funds or transfer assets permissions on any key you provide to us. We will never ask for them.

3. Risk of Ruin and other statistical outputs

The Risk of Ruin metric is a trailing statistical calculation based entirely on the user's historical data and inputted parameters. It does not account for changing market conditions, news events, or future performance, and does not constitute a personalized recommendation.

All risk metrics rely on standard mathematical models applied to past performance and user inputs, which do not guarantee future results. Suggested risk levels are the output of a formula, not advice to trade at that size.

4. Data storage is a convenience feature

Calculation logs, order records, and dashboard statistics are stored solely for your own convenience as a historical dashboard — cloud storage of user logs. This is not portfolio management, performance validation, advisory record-keeping, or books-and-records service of any kind. We do not review, evaluate, or opine on your trading.

You may delete your stored broker connections and logs at any time from your profile, and you may delete your account and all associated data permanently.

5. Trading risk

Futures and futures options trading involves substantial risk of loss and is not suitable for every investor. You may lose more than your initial investment. Only risk capital should be used for trading.

6. Subscriptions and billing

New accounts include a 7-day free trial. After the trial, continued access requires an active subscription at the then-current price. Payments are processed by Stripe; we never receive or store your card number. Subscriptions renew automatically until cancelled and may be cancelled at any time, effective at the end of the current period.

7. Acceptable use

You may not share your account, resell access, reverse engineer the Software, attempt to access other users' data, or use the Software to operate accounts you are not legally entitled to trade. You must be of legal age in your jurisdiction and permitted to trade the products you route orders for.

8. Availability, warranty, and limitation of liability

The Software is provided "as-is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

To the maximum extent permitted by law, the aggregate liability of Proper Sizing LLC arising out of or related to the Software is limited to the amount you paid for the Software in the twelve months preceding the claim. We are not liable for trading losses, lost profits, or indirect, incidental, special, consequential, or punitive damages.

9. Availability by region

ProperSizing is offered to users in the United States. New account registration is not available from the European Union, the United Kingdom, or jurisdictions subject to comprehensive sanctions. We do not verify your residency or tax jurisdiction beyond this check, and you are responsible for compliance with your local law.

10. Changes and contact

We may update these terms; material changes require renewed acceptance before continued use. Questions: admin@propersizing.com.

11. Affiliate program

Participation in the ProperSizing affiliate partner program is governed by the Affiliate Terms of Service. If you promote ProperSizing or earn commissions through our affiliate platform, you agree to those terms in addition to these Terms of Service.
